Master Terms of Service

These Master Terms of Service (“Terms”) govern your corporate access to and professional use of the procurement portal, enterprise online store, and IT infrastructure services provided by Web Planets LLC (“Web Planets,” “we,” “us,” or “our”). By accessing our digital interface, establishing a commercial account, or executing a purchase order, you agree to be bound by these enterprise-level Terms.

1. Commercial and Enterprise Use Only
Our platform and procurement services are strictly designated for use by business, institutional, and organizational clients. These services are not available for consumer-grade or household applications. By engaging our services, you warrant that you are acting as an authorized representative of a legal business entity with the requisite power to enter into these binding commercial Terms.

2. Integration with Framework Policies
These Terms operate in conjunction with our specialized B2B Purchase Policy, Enterprise Shipping Policy, Commercial Return Policy, Manufacturer Warranty Information, Corporate Privacy Policy, Cookies Policy, and Professional Disclaimers. In the event of a conflict between these Terms and a specific Statement of Work or transactional policy, the specific commercial policy shall govern the respective obligation.

3. Corporate Account Security and Management
Access to enterprise pricing and procurement features requires the registration of a verified corporate account. You agree to: Submit accurate and verifiable organizational information during the onboarding process; Maintain strict confidentiality of administrative login credentials within your IT department; Provide immediate notification regarding any suspected unauthorized access or breach of your organization's account security. Your organization assumes full liability for all activities conducted under its credentials, except in instances where a security failure is directly attributable to the gross negligence of Web Planets LLC.

4. Procurement, Quotations, and Pricing
The submission of a digital requisition or purchase order does not constitute a binding contract until formal acceptance by Web Planets LLC. All transactions remain subject to inventory verification and credit approval as outlined in our Purchase Policy. We reserve the authority to rectify discrepancies in enterprise pricing or hardware specifications and to cancel orders impacted by such errors, even following electronic submission. Should an order be voided post-payment, a corporate credit or refund will be processed in compliance with our standard Refund/Return protocols.

5. Authorized Professional Conduct
You agree to utilize our procurement systems and consulting services solely for legitimate business operations and in compliance with these Terms. Prohibited actions include: Utilizing the platform in violation of any trade regulations or commercial laws; Attempting to circumvent network security or harvest proprietary system data; Disrupting the availability of infrastructure services or procurement interfaces; Engaging in deceptive trade practices or fraudulent procurement activities. Furthermore, users acknowledge that Web Planets LLC is an independent authorized reseller and consultant; you agree not to misidentify our firm as HP Inc., an OEM-operated factory service center, or a provider of residential technical support and consumer-level remote repair.

6. Intellectual Property and Proprietary Rights
All materials on our platform—including technical documentation, interface software, and corporate logos—are the property of Web Planets LLC or its licensors and are protected by international intellectual property statutes. HP marks and product identifiers are utilized exclusively for the purpose of hardware identification and remain the sole property of HP Inc. and its affiliates. Reproduction, distribution, or commercial exploitation of our proprietary content without prior written authorization is strictly prohibited.

7. Enterprise Third-Party Integrations
Our infrastructure may interface with third-party logistical or financial services. We maintain no oversight and assume no liability for the operational standards or data policies of external entities. Engagement with third-party providers is governed by their respective enterprise agreements and is conducted at your organization's own risk.

8. Professional Disclaimers
Your organization’s use of our procurement portal and consulting services is at your sole professional discretion. Except as explicitly detailed in a written Service Level Agreement or required by statute, we provide our platform and services on an “as is” and “as available” basis, devoid of any warranties, whether express or implied. We do not guarantee that IT interfaces will be uninterrupted or entirely free from technical vulnerabilities.

9. Limitation of Commercial Liability
To the maximum extent permitted by applicable law, Web Planets LLC shall not be liable for any indirect, incidental, or consequential damages—including loss of corporate data or business interruption—arising from the use of our hardware or consulting services. Our cumulative liability for any claim related to these Terms shall not exceed the total fees paid by your organization for the specific transaction or equipment order giving rise to the claim.

10. Mutual Indemnification
Your organization agrees to indemnify, defend, and hold harmless Web Planets LLC and its executives and agents from any third-party claims, legal liabilities, or litigation expenses (including attorney fees) resulting from a breach of these Terms or the improper deployment of hardware and services within your organization’s infrastructure.

11. Amendments to Terms
We reserve the right to modify these Terms to reflect changes in regulatory requirements or business operations. The “Last updated” date signifies the latest revision. Continued engagement with our procurement services following such updates constitutes formal organizational acceptance of the modified Terms.

12. Governing Law and Venue
These Terms and all related commercial disputes shall be governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any legal proceedings shall be conducted exclusively in the state or federal courts of Georgia, and both parties hereby submit to the personal jurisdiction of said courts.
